The Role:

As a Corporate Legal Counsel within the Corporate & Compliance Legal Team, reporting directly to the Corporate & Compliance Principal, you will be a central pillar supporting Ledger's operational and corporate integrity across its global footprint. This role requires deep expertise in French corporate and companies law and meticulous attention to detail.

You will play a direct role in maintaining the company's compliance framework, supporting key Board of Directors and shareholder decisions, and ensuring the legal foundation is solid for our continued hyper-growth in the Web3 space.


What you’ll be doing:

This role requires rigor, autonomy, and strong organizational skills to manage corporate mandates in an international and complex environment.

Your core responsibilities include:

  • Lead the preparation and execution of the Shareholders General Meetings, contributing to the drafting of the legal documentation and all associated legal obligations.

  • Contribute to the preparation of all legal documentation and support for the Board of Directors and its Committees, ensuring timely and compliant delivery.

  • Handle the setting up of new subsidiaries and branches as well as the day-to-day corporate management of Ledger’s French and foreign subsidiaries and branches, leveraging the support of external legal counsel across different jurisdictions.

  • Contribute to the structuring and management of Ledger equity incentive programs, in coordination with our Compensation & Benefits team, and oversee the relationship with the relevant Corporate services providers: equity platform & LTI administrator, external registrar, etc.

  • Be the main legal point of contact for statutory auditors, external advisors and other experts for corporate matters.

  • Contribute to the oversight and management of operational legal instruments: intragroup agreement & guarantees, delegations of authorities, etc.

  • Serve as a point of contact for various company law support: legal formalities, certifications, notarizations, attestations, etc.

  • Contribute to the management of relevant policies, processes, guidelines, templates, training and best practices.

  • Provide assistance on investors’ or KYC/AML requests.

  • Contribute to various missions of the Corporate & Compliance Team based on your skills and development preferences, offering corporate support for cross-border reorganizations, corporate contracts, and M&A or financing transactions as needed.

What we’re looking for:

  • At least 8 years of robust legal experience, gained either in-house at a technology-driven company and/or within a law firm, with a proven track record across a diverse range of Corporate matters including expertise in Corporate management of a French company.

  • A Master 2 degree in Corporate and Companies Law (or equivalent: DJCE, etc.) obtained from a French university is mandatory. An additional degree obtained in an English-speaking country will be a plus.

  • Experience in the context of cross-border reorganizations or M&A transactions would be a plus.

  • You possess a rare blend of pragmatism and strategic thinking, capable of navigating ambiguity in a nascent industry and providing clear, actionable legal advice to executive leadership.

  • You’re proactive, self-motivated, and resilient. You consistently take initiative and are adept at effectively prioritizing multiple, high-impact matters in a dynamic, high-stakes environment.

  • A foundational understanding of blockchain technology and Web3, or a demonstrated, strong aptitude and eagerness for quickly learning new, complex technologies.

  • English and French proficiency is mandatory for exemplary written and verbal communication, drafting, and presentation skills.
